dist-upgrade is a smarter upgrade: it installs new dependencies and removes conflicting packages when needed, going beyond plain upgrade's conservative policy. That makes it slightly riskier on production boxes — it can remove packages you use. On Debian-based systems it is how kernel and library transitions get applied.
